Terms of service

1. Parties and acceptance

These Terms of Service (the "Terms") are a binding agreement between [Proferizon (Pty) Ltd], a company incorporated in the Republic of South Africa (registration number [registration number]), trading as Okodi.ai ("Okodi", "we", "us") and the organisation, agency, business or individual that creates an account or otherwise uses the Okodi Social product at social.okodi.ai (the "Customer", "you").

By creating an account, connecting a social account, or otherwise accessing the Service you agree to be bound by these Terms and by our Privacy Policy. If you are entering these Terms on behalf of an organisation, you warrant that you have authority to do so.

2. The Service

Okodi Social is a software-as-a-service that (a) assists you to generate on-brand social media post copy using large language model agents; (b) optionally generates supporting imagery; (c) stores brand sheets, content briefs, generated posts and approvals per Business record; and (d) publishes approved posts to connected Meta (Facebook Pages, Instagram Business accounts) and LinkedIn (personal profile, Company Pages) identities on your behalf. We may add, change or remove features from time to time.

3. Accounts and authentication

  • Authentication is provided by Clerk. You are responsible for keeping your credentials confidential.
  • You are responsible for all activity that occurs under your account.
  • You must promptly notify us of any unauthorised access to your account.
  • You must be at least 18 years old to create an account.

4. Organisations, Businesses and client data

The Service is multi-tenant. Every record is scoped to a Clerk Organisation (typically your agency or team). Within an Organisation you can create one or more Business records, each representing a brand you produce content for. You warrant that:

  • you have the necessary rights and authority from each Business to create it in the Service, upload its brand information, and to generate and publish content on its behalf;
  • where a Business represents a third party (for example, an agency client), you have obtained the third party's written or click-through authorisation before generating or publishing content in their name;
  • you will not use the Service to impersonate a Business or brand without authorisation.

5. Your content

"Customer Content" means anything you upload, submit or generate through the Service, including brand sheets, briefs, source material, generated post copy, generated images, approval notes, and platform tokens.

  • As between you and Okodi, you retain all right, title and interest in your Customer Content.
  • You grant Okodi a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display and process the Customer Content solely to provide the Service to you.
  • You warrant that your Customer Content does not infringe any third-party right and does not violate any applicable law.

6. AI-generated content

The Service uses third-party large language models and image models. Outputs are generated statistically and may contain factual inaccuracies, offensive material, or content that infringes third-party rights. You are solely responsible for reviewing, editing and approving each post before it is published. Okodi does not warrant that AI-generated content is accurate, non-infringing, or fit for any particular purpose.

You further acknowledge that AI providers may retain prompts and outputs for a period for abuse-monitoring in line with their published policies. Do not submit source material through the Service that you are not permitted to share with third-party processors.

7. Connecting social platforms

You may connect Meta and LinkedIn accounts to a Business through the OAuth flows provided by those platforms, either directly through the portal or through the client self-connect link. By connecting an account you:

  • confirm that you (or the connecting individual) have authority to grant the requested permissions on the target identity;
  • agree that Okodi may store the issued access tokens (and refresh tokens where issued) and use them solely to enumerate accounts and publish approved posts;
  • agree to comply with the applicable platform terms — the Meta Platform Terms and the LinkedIn API Terms of Use.

You may disconnect any account at any time from the Publish page.

8. Acceptable use

You must not use the Service to:

  • generate or publish content that is unlawful, defamatory, discriminatory, harassing, obscene, or that infringes any intellectual-property or privacy right;
  • impersonate any person or entity, or misrepresent your affiliation with a person or entity;
  • send unsolicited communications (spam), scrape platform data, or otherwise breach a connected platform's terms;
  • reverse-engineer, decompile or attempt to derive the source code of the Service;
  • attempt to bypass access controls, rate limits, or security measures.

We may suspend or terminate your account, and revoke platform connections, if we reasonably believe you are in breach.

9. Fees

Fees, if any, and applicable currencies are as set out on the Okodi Social pricing page or in a separate written agreement. Unless otherwise stated, fees are payable monthly in advance, are non-refundable, and are exclusive of VAT (South Africa) and any applicable withholding tax. Overdue invoices bear interest at the prescribed rate under the Prescribed Rate of Interest Act.

10. Term and termination

  • These Terms take effect when you first accept them and continue until terminated.
  • Either party may terminate on 30 days' written notice.
  • We may suspend or terminate immediately for cause (breach, non-payment, security or legal risk).
  • On termination we will make Customer Content available for export for 30 days, after which the retention periods in the Privacy Policy apply.

11. Warranty disclaimer

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Okodi disclaims all warranties, whether express, implied, statutory or otherwise, including any warranty of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that generated content will meet your requirements.

12. Limitation of liability

To the maximum extent permitted by law, Okodi will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunity, arising out of or in connection with these Terms or the Service, even if advised of the possibility of such damages.

Okodi's total aggregate liability arising out of or relating to these Terms will not exceed the greater of (a) the fees paid by you to Okodi in the twelve months immediately preceding the event giving rise to the claim, or (b) ZAR 5,000.

Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence.

13. Indemnity

You will indemnify and hold harmless Okodi, its directors, employees and agents against any claim, loss or expense (including reasonable legal fees) arising from (a) your Customer Content, (b) content you publish through the Service, (c) your breach of these Terms or of any platform terms, or (d) your infringement of any third-party right.

14. Intellectual property in the Service

The Service, including all software, designs, trademarks, and documentation, is the property of Okodi and its licensors. Except for the limited right to use the Service during the term of these Terms, no licence is granted.

15. Data protection

Our processing of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. Where you use the Service to process personal information about your own end users (for example, an agency client's contacts), Okodi acts as an operator (POPIA) / processor on your instructions, and you act as the responsible party / controller.

16. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of South Africa. The parties submit to the exclusive jurisdiction of the courts of the Western Cape High Court, Cape Town, subject to Okodi's right to bring proceedings in any court of competent jurisdiction to enforce its intellectual-property rights.

Nothing in this clause prevents a party from seeking urgent interim relief in any court of competent jurisdiction.

17. Changes to these Terms

We may amend these Terms from time to time. Material changes will be notified by email to the account owner or by a notice in the portal at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the amended Terms.
